We specialize in advising on and in connection with FinTech companies. Our FinTech advice goes far beyond "conventional" legal advice. We combine the complex legal and regulatory design of business models under one roof with the decisive haptic (look-and-feel) that is crucial for customers to achieve the best possible user experience (customer experience). To this end, we look at the business model primarily from the customer's point of view (customer-centric). In our opinion, this is the only way to provide “real” FinTech advice with added value for everyone involved.

Our team advises local and international companies on structural, banking and regulatory issues. In addition to one-third of the large FinTechs in Germany, we advise banks, financial service providers, payment service providers and securities trading companies.

Structuring the business model

The greatest difficulty in structuring business models for financial services, often in cooperation with established banks, is fulfilling regulatory requirements.

We support our clients from developing a business idea to going-live and beyond. To this end, we first develop a common understanding of the (planned) business model with our clients and accompany them - if necessary - in decision-making processes.

When refinancing our clients, we cover the entire spectrum from true sale via synthetic transfers of beneficial ownership, securitizations and fund structures to derivatives (e.g. credit-linked notes, credit default swaps or collateralized debt obligations).

Contract documentation

We also support our FinTech clients and their cooperation partners in drafting the contract documentation. We draw on our experience in preparing common financing documents, i.e. loan agreements and collateral documentation, and integrate them into the planned structure. In doing so, we take into account the legal and economic interests of all parties involved, i.e. both those of FinTech customers and those involved in refinancing.

Ongoing advice

During the business model structuring and after going-live, we support our FinTech clients with any questions that arise. Our advice extends to negotiations with third parties both within and outside the cooperation relationship.

We also support our clients with outsourcing and integrating regulatory or IT requirements.
